Judgment Hand Down: Re Lamo Holding BV [2023] EWHC 1558 (Ch)

Leech J handed down judgment sanctioning a scheme of arrangement following a challenge to the scheme from the shareholders of the Group.

The Judgment contains a useful discussion about when the Court should exercise its discretion to sanction a scheme without hearing live evidence or resolving heavily contested issues.

Daniel Bayfield KC and Matthew Abraham (instructed by Allen & Overy LLP) appeared on behalf of Lamo Holding B.V. (the “Company”).

David Allison KC, Georgina Peters and Stefanie Wilkins (instructed by Norton Rose Fulbright LLP) appeared for six financial institutions who are lenders to the Company and the Vroon Group of companies.

Jeremy Goldring KC and Ryan Perkins (instructed by Jones Day) for the shareholders (the “Shareholders”).
