Tom Smith KC and Paul Fradley have appeared in the Privy Council on behalf of China Shanshui Cement Group Ltd in an important company law case. The appeal is brought by Tianrui (International) Holding Company Ltd against a decision of the Cayman Islands Court of Appeal.
Judgment is awaited.
The issue for the Board is whether a minority shareholder has standing to bring a personal claim against a company where the board of directors of that company had allegedly exercised their powers to issue and allot shares for the improper purpose of diluting the shareholding of the minority shareholder. The judgment is likely to touch on a number of important company law principles.
